No approval (other than the FIPPA Investment License) of or declaration or filing with any Approval Authority on the part of such Party is required in connection with the execution and delivery of this Agreement or the transaction contemplated, or if any approval of, or declaration or filing with any Approval Authority is required, such approval has been obtained or such declaration or filing has been made, or agreed to be made in due course
[2] No amendment or change hereof or addition hereto shall be effective or binding on the Parties unless reduced to writing and executed by the respective duly authorized representative/s of the Parties and, where necessary, approved by the Approval Authorities.
Article 56: Approval Authorities
The Parties agree that if any Approval Authority (including the FIPPA Authority) raises any objection or reservation with respect to any of the provisions hereof or in any of the Appendices hereto, the Parties shall meet and discuss in order to accommodate as far as possible the views of such Approval Authorities by mutual agreement between the Parties.
